CONSTITUTION OF ISACA-LEBANON CHAPTER

This association is called: ISACA-Lebanon Chapter

 

Article 1: Association Name

An association was incorporated in the Republic of Lebanon under the name: ISACA-Lebanon Chapter; it will be known under the name ISACA-Lebanon Chapter, and it is a non-political, non-profit association

Article 2: Association Seat

The chapter seat can be changed to any other place in Lebanon if approved by the General Commission according to the majority as specified in the bylaws. The Ministry of Internal Affairs should be notified in advance of this change.

Article 3: Association Objectives

  1. To promote the education of, and help expand the knowledge and skills of its members in the interrelated fields of auditing, quality assurance, security, and Information Systems audit and control

  2. To promote CISA and CISM, the certifications of ISACA

  3. To encourage a free exchange of Information Systems audit and control, quality assurance, and security techniques, approaches, and the problem solving by its members

  4. To provide adequate communication to keep members abreast of current events in Information Systems audit and control, quality assurance, and security fields that can provide benefit to them and their employers

  5. To communicate to management, auditors, universities, and to Information Systems professionals the importance of establishing controls necessary to ensure the effective organization and utilization of Information Technology resources.

  6. To encourage professional cooperation with ISACA and similar foreign and Arabic societies.

  7. To give all possible effort to satisfy the association objectives and to practice all useful and needed rights and authorities needed to realize the objectives and goals of the association according to its bylaws and rules.

Article 4: Association Funds

  1. Subscription fees

  2. Governmental and non-governmental donations

  3. Contribution grants and wills

  4. Money revenues generated from all scientific, social and educational activities or any other activities organized by the association.

  5. Association funds shall be spent to serve its objectives.

Article 5: Association Composition

The association is found up of two commissions: The General Commission and The Administrative Commission:

  1. The General Commission is formed up of all the members effectively affiliated to the association by fulfilling all local chapter and ISACA International requirements. Its authorities and tasks are specified in detail in its bylaws; the provisions of the association law and bylaws apply to the General Commission.

  2.  The Administrative Commission, elected by the General Commission, represents the association and manages it according to its regulations, the chapter bylaws and the laws in force.

Several committees can be formed by the Administrative Commission.  These committees will work under the supervision of the Administrative Commission. Each committee or group of committees should include at least one member of the Administrative Commission.

Article 6: The Bylaws

The bylaws of the association may include the formation of certain committees and bodies, with their names and tasks and the manner of selection and appointment of their members. The bylaws will also specify the duties of the Administrative Commission members, how to elect them and how they can resign.

Article 7: The General Commission

The General Commission is composed of all the active members that are affiliated to the association by fulfilling all local chapter and ISACA International requirements. The duties and obligations of this commission are defined in the association bylaws.

Article 8: The Administrative Commission

The Administrative Commission is formed up of nine members, eight of which will be elected by those present in the General Commission by secret voting.  The ninth member is the Immediate Past President, except that this post will not exist until the retirement of the first President from office. Altering the number of Administrative Commission positions is only accomplished by a change in the chapter bylaws and constitution.

For the completion of the quorum of the election session it is stipulated that minimum 10% of the General Commission members, who have paid their annual subscriptions, one month before the election date, be present.

The term of the Administrative Commission is two years starting the date of its election. However, the founder’s term as an Administrative Commission is one year as of the date of the local chapter’s permit. The members of the Administrative Commission can be re-elected for a second consecutive term. After their second term, the members cannot nominate themselves for any position in the Administrative Commission before the end of one complete term after the end of their own term.

The elected Administrative Commission shall convene upon its election, and shall choose among its members a President, an Immediate Past-President, a Vice-President, a Secretary, an Accountant, a Treasurer and special committee members.

It is possible to attribute two functions at the most to one member in the Administrative Commission except the determination and fund spending; the functions of the Administrative Commission and those of each one of its members will be specified in the bylaws of the association. The jobs of all the Administrative Commission shall be unpaid.

The election meeting shall be managed by an election committee that is formed from several members from the General Commission: a committee chair and vote controllers (chosen by the president); the elections should be supervised by a representative from the department of political and administrative affairs. The election committee should not include any of the nominees.

It is necessary to deliver to the department of political and administrative affairs- section of associations, in the general internal directorate a copy of the declaration document of the election of the Administrative Commission, which specifies the date and the place of the elections, provided that the delivery of said copy shall take place at least one month before the fixed date, the security authority in whose region is suited the place of the election of the Administrative Commission must be notified also.

The founders will assume the power of the Administrative Commission for one year as of the date of the association’s permit. The association president will have to call for a general meeting for the General Commission before the end of the founders term with two months notice as per the election process defined in by-laws, in order to elect a new Administrative Commission.

Article 9: Membership

Any Lebanese or foreigner, male or female has the right to submit an application to ISACA International to join the association.

Each active member, who has effectively subscribed to the chapter and paying their annual international and chapter subscription fees, is automatically a member of the General Commission, and those who have paid their annual subscription fees one month before the election date, have the right to vote and to participate in all the activities conducted by the sub-committees working under the Administrative Commission.

Article 10: Statue Amendment

The General Commission with a majority of 2/3 of its members has the right to amend this constitution according to the proposals of the Administrative Commission, or the proposal of 20% of the members of the General Commission.

Article 11: Association Dissolution

In case of dissolution of the association, all its funds and properties shall be the ownership of the Lebanese University to be spent to cover its services.

In addition to the conditions provided for in the association law, to effect dissolution of the chapter, the chapter bylaws and constitution must be rescinded by a two-thirds (2/3) vote of the chapter membership after two weeks’ notice has been mailed to each member.
